Terms and Conditions

The following Terms and Conditions of Service apply to all products and services provided by Pure Web Limited trading as PureWeb. 

All work is carried out by Pure Web Limited trading as PureWeb is on the understanding that the client has agreed to Pure Web Limited trading as PureWeb’s terms and conditions.

Copyright is retained by Pure Web Limited trading as PureWeb  on all design work including words, pictures, ideas, visuals and illustrations unless specifically released in writing by Pure Web Limited trading as PureWeb  and after all costs have been settled. 

If a choice of design is presented, only one solution is deemed to be given by Pure Web Limited trading as PureWeb as fulfilling the contract. All other designs remain the property of Pure Web Limited trading as PureWeb, unless agreed in writing that this arrangement has been changed.

 

Acceptance of Work

At the time of proposal, Pure Web Limited trading as PureWeb will provide the customer with a written estimate or quotation. The Terms and Conditions can be read on Pure Web Limited trading as PureWeb’s website at http://www.purewebdevelopment.co.uk/terms-and-conditions

A copy of the written estimate or quotation is to be signed and dated by the customer to indicate acceptance and should be returned to Pure Web Limited trading as PureWeb. Alternatively, the client may send an official order in reply to the estimate or quotation which binds the client to accept Pure Web Limited trading as PureWeb’s terms and conditions. No work on a project will commence until either document has been received by Pure Web Limited trading as PureWeb.

Quotations are valid for 7 days from date of issue.

Any other services which have not been included in the quotation do not form part of the contract. The Client agrees to check the details of the quotation are correct and should print and keep a copy for their records. Pure Web Limited trading as PureWeb is liable to withdraw from a contract at any time prior to acceptance.

Additional work requested by the Client which is not specified in the agreed quotation is subject to an additional quotation by Pure Web Limited trading as PureWeb on receipt of specification. If the work is needed as part of an existing project then this may the effect timescale and overall delivery time of the project. 

The Client agrees to provide any needed information and content required by Pure Web Limited trading as PureWeb in good time to enable Pure Web Limited trading as PureWeb to complete a design or web site work as part of an agreed project. Any work is subject to a minimum charge of £45.

 

Design Charges

Charges for design services to be provided by Pure Web Limited trading as PureWeb will be set out in the written estimate or quotation that is provided to the customer. At the time of the customer's signed acceptance of this estimate or quotation, indicating acceptance of the Terms & Conditions, a non-refundable deposit of 50% of the quoted fee will become immediately due. Work on the project will not commence until Pure Web Limited trading as PureWeb has received this amount.

Charges for any additional services over and above the estimated design, will become fully payable (100% of the quoted amount) at the time of estimate or quotation acceptance.

 

Payment

The customer will be provided with a Sign Off Form and Invoice prior to final publication. At this time the remainder of the amount due will become payable and the customer will also be required to sign and return the Sign Off Form to Pure Web Limited trading as PureWeb. Accounts which remain outstanding for 30 days after the date of invoice, will incur an extra charge of 2% per month of the outstanding amount.

Payments may be made by cash, cheque, or previously agreed electronic funds transfer or (for overseas customers), Pound Sterling International Money Order. 

Publication and/or release of work done by Pure Web Limited trading as PureWeb on behalf of the client, may not take place before cleared funds have been received.

Returned cheques will incur an additional fee of £50 per returned cheque. Pure Web Limited trading as PureWeb reserves the right to consider an account to be in default in the event of a returned cheque.

 

Default

An account shall be considered default if it remains unpaid for 30 days from the date of invoice, or following a returned cheque. Pure Web Limited trading as PureWeb shall be considered entitled to remove Pure Web Limited trading as PureWeb and/or the customer's material from any and all computer systems, until the amount due has been fully paid. This includes any and all unpaid monies due for services, including, but not limited to, hosting, domain registration, search engine submission, design and maintenance, sub-contractors, printers, photographers and libraries.

Removal of such materials does not relieve the customer of its obligation to pay the due amount. Customers whose accounts become default agrees to pay Pure Web Limited trading as PureWeb reasonable legal expenses and third party collection agency fees in the enforcement of these Terms and Conditions.

 

Copyrights and Trademarks

By supplying text, images and other data to Pure Web Limited trading as PureWeb for inclusion in the customer's website or other medium, the customer declares that it holds the appropriate copyright and/or trademark permissions. The ownership of such materials will remain with the customer, or rightful copyright or trademark owner. Any artwork, images, or text supplied and/or designed by Pure Web Limited trading as PureWeb on behalf of the customer, will remain the property of Pure Web Limited trading as PureWeb and/or its suppliers.

The customer may request in writing from Pure Web Limited trading as PureWeb, the necessary permission to use materials (for which Pure Web Limited trading as PureWeb holds the copyright) in forms other than for which it was originally supplied, and Pure Web Limited trading as PureWeb may, at its discretion, grant this. Such permission must be obtained in writing before it will allow any of the aforesaid artwork, images, text, or other data to be used. By supplying images, text, or any other data to Pure Web Limited trading as PureWeb, the customer grants Pure Web Limited trading as PureWeb permission to use this material freely in the pursuit of the design.

Should Pure Web Limited trading as PureWeb, or the customer supply an image, text, audio clip or any other file for use in a website, multimedia presentation, print item, exhibition, advertisement or any other medium believing it to be copyright and royalty free, which subsequently emerges to have such copyright or royalty usage limitations, the customer will agree to allow Pure Web Limited trading as PureWeb to remove and/or replace the file on the site.

The customer agrees to fully indemnify and hold Pure Web Limited trading as PureWeb free from harm in any and all claims resulting from the customer in not having obtained all the required copyright, and/or any other necessary permissions.

 

Alterations

The customer agrees that changes required over and above the estimated work or required to be carried out after acceptance of the draft design will be liable to a separate charge. The customer also agrees that Pure Web Limited trading as PureWeb holds no responsibility for any amendments made by any third party, before or after a design is published.

 

Licensing

Any design, copywriting, drawing, idea or code created for the customer by Pure Web Limited trading as PureWeb or any of its contractors, is licensed for use by the client on a one-time only basis and may not be modified, re-used, or re-distributed in any way or form without the express written consent of Pure Web Limited trading as PureWeb and any of its relevant sub-contractors. 

All design work- where there is a risk that another party make a claim, should be registered by the client with the appropriate authorities prior to publishing or first use or searches and legal advice sought as to its use. Pure Web Limited trading as PureWeb will not be held responsible for any and all damages resulting from such claims. Pure Web Limited trading as PureWeb is not responsible for any loss, or consequential loss, non-delivery of products or services, of whatever cause. The customer agrees not to hold Pure Web Limited trading as PureWeb responsible for any such loss or damage. Any claim Pure Web Limited trading as PureWeb shall be limited to the relevant fee(s) paid by the customer.

 

Data Formats

The client agrees to Pure Web Limited trading as PureWeb’s definition of acceptable means of supplying data to the company.

Text is to be supplied to Pure Web Limited trading as PureWeb in electronic format as standard text (.txt), MS Word (.doc, .docx) on USB/Memory stick, or CD-ROM, or via e-mail.

Images which are supplied in an electronic format are to be provided in a format as prescribed by Pure Web Limited trading as PureWeb via USB/Memory stick, CD-ROM, or e-mail. Images must be of a quality suitable for use without any subsequent image processing, and Pure Web Limited trading as PureWeb will not be held responsible for any image quality which the client later deems to be unacceptable Pure Web Limited trading as PureWeb cannot be held responsible for the quality of any images which the client wishes to be scanned from printed materials. 

Additional expenses may be incurred for any necessary action, including, but not limited to, photography and art direction, photography searches, media conversion, digital image processing, or data entry services.

 

Design Project Duration

Any indication given by Pure Web Limited trading as PureWeb of a design project's duration is to be considered by the customer to be estimation. Pure Web Limited trading as PureWeb cannot be held responsible for any project over-runs, whatever the cause. Estimated project duration should be deemed to be from the date that cleared funds are received by Pure Web Limited trading as PureWeb for the initial payment or by date confirmed in writing by Pure Web Limited trading as PureWeb.

 

Rights of Access for Website Construction

The client agrees to allow Pure Web Limited trading as PureWeb all necessary access to computer systems and other locations, as required, in order to complete a website project and until all due funds are cleared, including the necessary read/write permissions, usernames and passwords. The customer also agrees to allow Pure Web Limited trading as PureWeb access to any computer systems, usernames and passwords required to remove data and/or sites for failure to comply with these Terms and Conditions.

The customer agrees to supply Pure Web Limited trading as PureWeb with all necessary materials, electronic, or otherwise, required to create and complete the project, and to supply them in a timely manner.

 

Design Project Completion

Pure Web Limited trading as PureWeb considers the design project complete upon receipt of the customer's signed Approval form. Other services such as printing, display panel production, film work, website uploading, publishing etc either contracted on the client's behalf constitute a separate project and can be treated as a separate charge.

 

Website design only

Once web design is complete, Pure Web Limited trading as PureWeb will provide the customer with the opportunity to review the resulting work Pure Web Limited trading as PureWeb will make one set of minor changes at no extra cost within 14 days of the start of the review period. Minor changes include small textual changes and small adjustments to placement of items on the page. It does not include changes to images, colour schemes or any navigation features. Any minor changes can be notified to Pure Web Limited trading as PureWeb by e-mail or fax and confirmed by post.

Pure Web Limited trading as PureWeb will consider that the client has accepted the original draft, if no notification of changes is received in writing from the customer, within 14 days of the start of the review period.

 

Website CMS (Content Management System) 

The CMS (content management system) branded as WCMS or PureWeb CMS provided by Pure Web Limited trading as PureWeb for any website built for a client is owned by Pure Web Limited trading as PureWeb. The CMS (content management system) branded as WCMS or PureWeb CMS is only licensed to clients for as long as The Moxhay Group trading as PureWeb wishes to. The client has no right at any time to access or take the CMS (content management) branded as WCMS or PureWeb CMS source code and the client neither has any right of ownership to any CMS (content management system) branded as WCMS or PureWeb CMS framework which their website design was built within, the CMS branded as WCMS or PureWeb CMS is solely owned by Pure Web Limited trading as PureWeb. Only content, text and images provided by the client are owned by the client.

 

Hosting websites 

Pure Web Limited trading as PureWeb offers in-house and non in-house hosting services. Pure Web Limited trading as PureWeb can only suggest possible sub-contractors if hosting is not supplied by Pure Web Limited trading as PureWeb and do not guarantee continuous service and will accept no liability for loss of service, whatever the cause. Pure Web Limited trading as PureWeb may request that clients change the type of hosting account used if that account is deemed by Pure Web Limited trading as PureWeb to be unacceptable because of poor service, lack of bandwidth or in any other way insufficient to support the website. Fees due to the hosting organisation are the responsibility of the client and Pure Web Limited trading as PureWeb is not liable for their payment. Should outstanding website hosting invoices not be paid by a client Pure Web Limited trading as PureWeb reserves the right to disconnect all website hosting and email facility until such time that Pure Web Limited trading as PureWeb are happy that overdue invoices are settled. Pure Web Limited trading as PureWeb are not liable for any client costs, loss or reimbursement during the time that any website or email connection is down.

 

Domain Registration

Pure Web Limited trading as PureWeb cannot guarantee the availability of any domain name. Where Pure Web Limited trading as PureWeb is to register a domain name on behalf of a client it will endeavour to do so but the client should not assume a successful registration.

Pure Web Limited trading as PureWeb can at its own discretion, but is not obliged to, offer domain name registration and hosting via a third party service.

The Client agrees that registration of a domain name does not provide endorsement of the right to use the name. The Client is responsible for ensuring they have due title to the domain name. Pure Web Limited trading as PureWeb holds no liability and the Client hereby agrees to indemnify and hold harmless Pure Web Limited trading as PureWeb from any claim resulting from the Client's registration of a domain name. The Client is liable to pay Pure Web Limited trading as PureWeb for any domain name registrations and the initial set up of the hosting if included as part of the web site build.

Any other domain name and hosting services or costs not included by Pure Web Limited trading as PureWeb, including, but not limited to, further domain name registration fees, domain name transfer charges, yearly domain name renewals, hosting charges, yearly hosting renewals, hosting upgrade, extra disk space, bandwidth and any other related or hidden charges are to be paid to Pure Web Limited trading as PureWeb or third party.

The Client agrees that if at any time their contact details including email address change, it is their responsibility to contact Pure Web Limited trading as PureWeb or third party and update their contact details. Failure to do so may mean that renewal invoices for the domain and hosting services are not received by the Client.

The Client agrees to pass on FTP details and any other access details relating to their domain name and hosting account which Pure Web Limited trading as PureWeb requires to upload the web site if required as part of a project. Pure Web Limited trading as PureWeb reserves the right without notice to cancel, reject or refuse work with domain names or hosting services without reason for such rejection or refusal.

The Client agrees to be liable for their use of the domain name, hosting and email services with the third party and hereby agrees to indemnify and hold harmless Pure Web Limited trading as PureWeb from any claim resulting from the Client's publication of material and use of the domain name, hosting and email services. The Client must agree to take full responsibility for all usage of the domain name, hosting and email services and to fully abide by the terms and conditions set out by the third party for such services.

 

Search Engine Submission

Due to the infinite number of considerations that search engines use when determining a site's ranking, Pure Web Limited trading as PureWeb cannot guarantee any particular placement. Acceptance by any search engine cannot be guaranteed and when a site is accepted, the time it takes to appear in search results varies from one search engine to another. Rankings will also vary as new sites are added.

 

Design Credits

The customer agrees to allow Pure Web Limited trading as PureWeb or associated company brands to place a small credit on printed material exhibition displays, advertisements and/or a link to Pure Web Limited trading as PureWeb or associated company brands own website on the customer's website. This will usually be in the form of a small logo or line of text placed towards the bottom of the page.

The customer also agrees to allow Pure Web Limited trading as PureWeb or associated company brands to place websites, logos and other designs, along with a link to the client's site on Pure Web Limited trading as PureWeb or associated company brands own websites for demonstration & portfolio purposes and to use any designs in its own publicity.

 

Rights of Refusal

Pure Web Limited trading as PureWeb will not include in its designs, any text, images or other data which it deems to be immoral, offensive, obscene or illegal. Pure Web Limited trading as PureWeb reserves the right to refuse to handle any media which is; unlawful or inappropriate, any media which constitutes harassment, racism, violence, obscenity, harmful intent or spamming and any media which contains a virus or hostile program, any media which constitutes a criminal offence, infringes privacy or copyright.

All advertising material must conform to all standards laid down by all relevant advertising standards authorities. Pure Web Limited trading as PureWeb also reserves the right to refuse to include submitted material without giving reason. Any images and/or data that Pure Web Limited trading as PureWeb does include in all good faith, and then finds out that it contravenes these Terms and Conditions, the customer is obliged to allow Pure Web Limited trading as PureWeb to remove the contravention without hindrance, or penalty. Pure Web Limited trading as PureWeb is to be held in no way responsible for any such data being included.

 

Cancellation

Cancellation of orders may be made initially by telephone contact, or e-mail, however, following this, Pure Web Limited trading as PureWeb will need formal notification in writing to the company's postal address. The client will then be invoiced for all work completed over and above the non-refundable deposit that will have been made at the time of first ordering. The balance of monies due must be paid within 30 days. Please note: any cancellation which is not formally confirmed in writing and received by Pure Web Limited trading as PureWeb within 14 days of such instruction being issued, will be liable for the full quoted cost of the project.

 

Disclaimer

Pure Web Limited trading as PureWeb makes no warranties of any kind, express or implied, for any and all products and/or services that it supplies. Pure Web Limited trading as PureWeb will not be held responsible for any and all damages resulting from products and/or services it supplies. Pure Web Limited trading as PureWeb is not responsible for any loss, or consequential loss of data, or non-delivery of products or services, of whatever cause. While we take reasonable steps to investigate the materials we recommend, we accept no responsibility for the performance or quality of materials or any consequential loss arising from their failure. The customer agrees not to hold Pure Web Limited trading as PureWeb responsible for any such loss or damage. Any claim against Pure Web Limited trading as PureWeb shall be limited to the relevant fee(s) paid by the customer.

Pure Web Limited trading as PureWeb reserves the right to use the services of sub-contractors, agents and suppliers and any work, content, services and usage is bound by their Terms and Conditions. Pure Web Limited trading as PureWeb will not knowingly perform any actions to contravene these and the client also agrees to be so bound.

Pure Web Limited trading as PureWeb and its clients agree to comply with Printers Terms and Conditions which include disclaimers for non-completion on time and the flexibility to supply quantities within 10% of the total ordered. Pure Web Limited trading as PureWeb recommend that if an exact quantity is required, then 10% extra is added to the quantity and extra time made available should the job be delayed.

 

General

These Terms and Conditions supersede any previous Terms and Conditions distributed in any form. Pure Web Limited trading as PureWeb reserves the right to change any rates and any of the Terms and Conditions at any time and without prior notice.

 

Acceptance of Quotation and Terms and Conditions

The placement of an order for design and/or any other services offered by Pure Web Limited trading as PureWeb and validated by the customer's signature on the estimate or quotation form, constitutes acceptance of the estimate or quotation and agreement to comply fully with all the Terms and Conditions and forms a Contract for Business between the signatory and Pure Web Limited trading as PureWeb.

 

Accessibility & web standards

Pure Web Limited trading as PureWeb tests sites and templates to ensure they comply with WAI accessibility standards to Level A conformance for sites as they are at time of sale. Should Clients request Pure Web Limited trading as PureWeb to alter the site or templates to meet specific WAI accessibility guidelines or if updated WAI accessibility guidelines were introduced after the site or templates were sold to the Client, Pure Web Limited trading as PureWeb reserves the right to quote separately for any additional work needed.

Pure Web Limited trading as PureWeb tests sites and templates to ensure they comply with W3C CSS standards as they are at time of sale. Should updated W3C CSS guidelines be introduced after the site or templates were sold to the Client, Pure Web Limited trading as PureWeb reserves the right to quote separately for any additional work needed.

Pure Web Limited trading as PureWeb shall make every effort to ensure sites are designed to be viewed by the majority of visitors. Sites are designed to work with the main browsers Internet Explorer and Mozilla Firefox latest releases. New layouts are tested with older browsers to ensure as much compatibility as possible. The Client agrees that Pure Web Limited trading as PureWeb cannot guarantee correct functionality with all browser software across different operating systems. Pure Web Limited trading as PureWeb does not support the browsers, Microsoft Internet Explorer 6 (abbreviated as IE6) or Microsoft Internet Explorer 7 (abbreviated as IE7).

The Clients agree that after handover of files any updated software versions of the main browsers Internet Explorer and Mozilla Firefox, domain name setup changes or hosting setup changes thereafter may affect the functionality and display of their web site. As such, Pure Web Limited trading as PureWeb reserves the right to quote for any work involved in changing the web site design or web site code for it to work with updated browser software, domain name or hosting changes. The Client agrees that more advanced applications on a web site page may require a newer browser version or Plugin.

 

Interpretation

Pure Web Limited trading as PureWeb reserves the right to terminate a project with a Client at any time without prior notification if it finds the Client in breach of these terms and conditions. Pure Web Limited trading as PureWeb shall be the sole arbiter in deciding what constitutes a breach. No refunds are given in such a situation.

This agreement shall be governed by the laws of England and Wales which shall claim venue and jurisdiction for any legal motion or claim arising from this agreement. This agreement is void where prohibited by law. Where one or more terms of this contract are held to be void or unenforceable for whatever reason, any other terms of the contract not so held will remain valid and enforceable at law.

Any and all matters pursuant to this agreement are governed by English Law and are under exclusive jurisdiction of the English Courts.

These Terms and Conditions supersede any previous Terms and Conditions distributed in any form. Pure Web Limited trading as PureWeb reserves the right to change any rates and any of the Terms and Conditions at any time and without prior notice. By accepting a quotation or making a payment of invoice to use the services supplied, the Client acknowledges to have read, understand, and accept the Terms and Conditions of this Agreement, and agrees to be legally binding by these Terms and Conditions.
